while downloading there’s a new line called Activation Key.

This is for new installations. If you are upgrading, Manager won’t require you to enter activation key. Activation key is a way for Manager to tell you downloaded it from https://www.manager.io.
Desktop edition remains to be free and always will be.

What is the purpose of the key? Track number of users/versions in use or what?
i think lubos already answered your question.
the key can be activated even when you are offline. so there is no tracking in any way.
